We urge you to cease using our services right away if you disagree with any part of these terms and conditions. You are completely prohibited from accessing or using our services.

1.2 Legally Binding Agreement

Upon the utilization of the Twozo Services by a Client, these Terms serve to create a legally binding agreement between the Client and Twozo. It is understood that by registering, you affirm your authority to act on behalf of your company or organization. Should you choose to sign up using your work email address, it is acknowledged that you are acting as a representative of your employer or organization within the scope of this agreement.

2. MODIFICATIONS TO TERMS

Twozo maintains the authority to adjust, revise, augment, or delete any segments of the Terms as it deems fit, with changes being made periodically and as the need arises. Notification of any such modifications may be communicated via multiple channels, including announcements posted directly on the platform or within the Twozo Services interface, as well as through email notifications or alerts within the user dashboard. By persistently engaging with the Twozo Services, the client expressly signifies their ongoing acknowledgment and acceptance of these Terms, inclusive of any subsequent modifications or revisions implemented by Twozo.

3. TWOZO SERVICES

3.1 User Accounts

Eligibility – You must be at least 18 years of age to use our services.

You bear the responsibility of preserving the confidentiality of your account information and overseeing all actions carried out under your account. It is imperative that you maintain the security of your account details and remain vigilant regarding any activities performed using your account credentials. We retain the prerogative to terminate your account within 60 days should you contravene these terms of service or engage in any activities that are deemed unlawful or prohibited by law. This includes actions that breach our community guidelines or pose a threat to the integrity and security of our platform.

3.2 Service Utilization

We give you the right to access and make use of our services under a restricted, non-exclusive, non-transferable, and revocable licence. This licence is only granted if you strictly follow the conditions stated in this agreement. It is strictly prohibited for you to engage in any of the following activities: sharing or transferring the services to third parties without first receiving our express written consent; using the services to provide comparable services to third parties without first receiving our written authorization; attempting to reverse engineer, disassemble, or compile the services in any way; using the services in a way that could potentially harm, disable, overload, or impair any server, network, or Twozo component; using the services to Spreading, storing, or distributing viruses, worms, or any other type of malicious software; and attempting to access services, related systems or networks without authorization.

3.3 Modifications to Twozo Services

Twozo retains the authority to make changes or modifications to our services as we see fit, without the obligation to provide advance notice to users. This enables us to adapt and improve our offerings in response to evolving needs and technological advancements. This pertains to potential alterations such as rebranding the services, revising their packaging, or modifying pricing tiers. It’s important to note that any adjustments to fees will be implemented at the time of the client’s plan renewal. Twozo holds the prerogative to halt the provision or ongoing development of particular features or elements within the platform, with the flexibility to enact such decisions either temporarily or permanently, aligning with the company’s strategic objectives and operational requirements.

3.4 Client Notification and Termination

In the circumstance where a client chooses not to accept a modification to the services, it is their responsibility to proactively inform Twozo or the relevant reseller, if access was procured through such a channel, prior to the modification taking effect. This communication enables both parties to engage in constructive dialogue and potentially explore alternative solutions or accommodations to address the client’s concerns or preferences. Failure to notify Twozo or the designated reseller of their decision regarding the modification will result in automatic termination of the client’s account once the modification comes into effect. It is essential for clients to proactively communicate their stance on the modification to ensure the continuity of their access to the services and to avoid any disruption to their usage.

3.5 Intellectual Properties

All material, attributes, and operations that comprise the services will continue to be the sole property of Twozo and its licensors, with entire and complete ownership rights. All of the following are included in this broad category of assets: data, concepts, methods, branding, logos, patents, and any other intellectual property related to the services. It is strictly prohibited that you use any knowledge, software, products, or services obtained from the services in any way, including alteration, delivery, transmission, display, achievement, growth, publication, permitting, creation of derivative works, transfer, or sale, without first obtaining Twozo’s express written consent. These stringent restrictions are implemented to uphold and protect the integrity of the services, as well as to preserve the proprietary rights associated with their content and functionalities.

3.6 Credentials

It is the client’s crucial duty to protect the privacy of their login credentials, which include usernames and passwords, by making sure they are kept private and secure. Furthermore, the client assumes full responsibility for any acts or activities carried out using these credentials, highlighting the critical need to manage them with caution and vigilance. Access credentials should never be shared or used by more than one person; each user must keep track of their own set of credentials to access the platform. This strict ban is in place to protect user account security and integrity, which lowers the possibility of potential breaches and unwanted access. Under some conditions, credentials may be transferred to a new user, especially if the prior user’s access is no longer needed because of things like job loss or a change in position. By quickly removing access for those who no longer require it, this technique ensures optimal user access management and maintains platform security. It also makes it easier for new users to take on pertinent jobs or duties inside the company, which preserves efficiency and operational continuity.

3.7 Client's Obligation to Promptly Notify Twozo

The customer must tell Twozo immediately if they feel or know that their usernames, passwords, or login information have been lost, disclosed to other parties, or used without authorization. Corrective action can be taken swiftly to minimize potential security issues and safeguard the integrity of the client’s account when occurrences are reported on time. By quickly alerting Twozo to such occurrences, the client actively contributes to preserving platform security and preventing unwanted access or exploitation of their account credentials. Should a user leave the company or have their position within the company structure altered, the client must notify Twozo as soon as possible of these changes. This proactive communication ensures that appropriate adjustments can be made to the user’s account status and access permissions, thereby maintaining the integrity and security of the platform. By informing Twozo of such occurrences promptly, the client facilitates the efficient management of user access rights and helps prevent potential security risks associated with unauthorized access or outdated permissions. If a user’s right to access Twozo’s services is terminated, regardless of the underlying reason, it is imperative that the client promptly notify Twozo of this development. Timely communication regarding the termination of a user’s access rights ensures that appropriate actions can be taken to revoke the user’s access privileges and safeguard the security of the platform. By promptly informing Twozo of such terminations, the client actively contributes to the maintenance of platform integrity and the prevention of unauthorized access or misuse of account credentials.

3.8 Changing Plans

The customer is still free to change their membership plan at any time by choosing to either upgrade or decrease their existing one. This can be done by going through the options that Twozo has provided and choosing a new plan that fits their changing needs and preferences. Because of this flexibility, the customer can modify their subscription to better fit their evolving requirements and guarantee they have access to the tools and resources required for their business. Additionally, Twozo aims to meet the various needs of its customers by providing a variety of plan alternatives, which improves user satisfaction and the overall usefulness of the platform. If the client opts to modify their subscription plan, the payment mechanism linked to their account with Twozo will be automatically charged for the upcoming payment interval. This charge will reflect the fee corresponding to the selected plan, as stipulated in the updated subscription terms. This automated billing process ensures seamless and hassle-free payment transactions for the client, eliminating the need for manual intervention and facilitating uninterrupted access to Twozo’s services. By automating the billing process, Twozo endeavors to streamline administrative tasks and enhance user convenience, thereby fostering a more efficient and frictionless experience for its clientele. In the event of a plan upgrade, any prepaid fees that remain unused will be automatically applied toward the fee associated with the upgraded plan. This mechanism ensures that the client maximizes the value of their prepaid fees by offsetting a portion of the cost of the upgraded subscription. By leveraging unused prepaid fees in this manner, Twozo aims to enhance client satisfaction and optimize the utilization of financial resources, thereby providing added flexibility and value to its clientele.

Our approach to managing the data you give us when utilizing our services is described in our Privacy Policy. You agree that your information will be collected and used as described in the Privacy Policy by using our services.

5. TECHNICAL SUPPORT

Twozo shall provide reasonable technical support to the client and its users via:

Twozo Community & Knowledge Base: Twozo offers access to its Twozo Community and Knowledge Base, which are available to all users. The Community facilitates peer-to-peer support and knowledge sharing, while the Knowledge Base provides users with comprehensive resources and guides to maximize their productivity and leverage the platform’s features. Together, these resources enhance the user experience and support users in achieving their goals with Twozo’s services.

Chat: Twozo provides a convenient chat feature that is accessible to all users through their Twozo account. This chat functionality serves as a real-time communication channel, allowing users to interact with each other, collaborate on projects, and seek assistance from Twozo’s support team as needed. Whether users have questions about platform features, encounter technical issues, or simply wish to connect with fellow users, the chat feature offers a seamless and efficient means of communication. By fostering instant communication and collaboration, the chat feature enhances user engagement and facilitates productive interactions within the Twozo community.

Phone: Users subscribed to specific plans with Twozo have the option to request a callback from the support team via their Twozo account. With the help of this function, users may have immediate access to individualized help and support. They can ask questions, get help with problems, or get advice from Twozo’s experienced support staff over the phone. When a customer purchases Twozo services from an approved reseller, also known as a third-party vendor with permission to offer Twozo services, the reseller will handle the first-line or initial technical assistance. This arrangement guarantees that customers receive timely and customized support straight from the organization that facilitated their acquisition of the services. The reseller is the main point of contact for handling technical questions, resolving problems, and offering platform advice because they are informed about the particular needs of the customer and the implementation of Twozo services. This cooperative strategy between Twozo and its approved resellers improves technical support’s effectiveness and accessibility, which eventually benefits users’ pleasure.

5.2 Exception to Twozo's Support

Although we offer standard support to our clients, in cases where services are procured through a reseller, Twozo does not directly provide the initial technical support to the client. Instead, the responsibility for addressing the client’s technical inquiries and providing initial support falls upon the authorized reseller. This approach ensures that clients receive tailored assistance and guidance from the entity through which they acquired the services, leveraging the reseller’s expertise and familiarity with the client’s specific needs and the deployment of Twozo services. By entrusting the initial technical support to the reseller, Twozo reinforces its commitment to delivering personalized and responsive support to clients, ultimately enhancing the overall user experience and satisfaction.

5.3 Verification by User

1. Verification of Identity

To protect user data and accounts, Twozo may request information from customers in order to verify their identity. By shielding critical data from potential security risks and preventing unauthorized access, this verification procedure improves platform security as a whole.

2. Auditing Procedure

Clients could be asked to submit particular data or paperwork to prove their identification during the verification process. Personal information, including name, address, and identity documents like a passport or driver’s license, may fall under this category. Twozo collects this data in an effort to protect sensitive information from security threats and to guarantee the security of client accounts.

3. Features

Twozo continually seeks to improve its services and may periodically introduce new features to enhance the user experience and functionality. These new features might come with their own set of additional terms and conditions, known as “Supplemental Terms,” which provide specific guidelines and rules for using these features. Clients who decide to take advantage of these new features must agree and adhere to these supplemental terms to ensure proper usage and compliance.

5.4 Free Trial

In order to test out the features and functions of Twozo’s services, new customers are offered a free trial that doesn’t require them to provide their credit card information. Nevertheless, the account will be immediately terminated at the end of this trial period. In order to prevent deactivation and maintain an active account status, users must choose an appropriate plan and make their first payment.

In the event that an account is deactivated, customers are still able to reactivate it by choosing a plan and making the first payment. On the other hand, the account and its related data could be permanently deleted within 60 days after the trial ends.

Moreover, Twozo may periodically extend special discounts and promotions to its clientele, which may entail additional terms and conditions beyond those outlined in the standard service agreement. 5.5 Services in Beta

It is crucial for customers to realize, though, that Twozo retains the right to end these beta services whenever it sees fit, without having to give them advance notice. The company may decide to temporarily or permanently discontinue this service after considering user feedback and making strategic decisions.

Users must understand that while using beta services can provide them with early access to new features and improvements, they do so at their own risk. Twozo hereby expressly disclaims all responsibility for any damage or unfavorable consequences that may arise from using, altering, stopping, or ending the beta services.

5.6 Non-Twozo Applications

Third-party applications are conveniently accessible via the Marketplace of Twozo’s platform, providing users with additional functionalities and integrations to enhance their experience. However, it’s essential for users to recognize that the terms and conditions governing the use of these third-party applications are established directly between the client and the respective third-party provider. Any data exchange that occurs between the client and the third-party provider is deemed solely their responsibility.

In the event of any issues or concerns arising from the use of third-party applications, users are advised to address these matters directly with the third-party provider, as Twozo does not intervene or provide support for third-party applications, irrespective of whether they are labeled as “certified.” Furthermore, users should understand that Twozo does not offer any warranties or guarantees for third-party applications and explicitly disclaims any responsibility for client data issues resulting from the use of such applications.

6. RESTRICTIONS

When using Twozo Services, users must abide by the terms of service, which specify the usage scope, and any applicable laws. Using Twozo Services to engage in unlawful activity or to encourage others to do so is strictly forbidden. In any capacity, users are prohibited from supplying false, incorrect, or misleading information.

Furthermore, it is forbidden for users to act in a way that is disparaging, libellous, threatening, or harassing of Twozo or its representatives. Moreover, it is recommended that customers only use Twozo Services if they accept the Terms of Service. Twozo Services access may be terminated for noncompliance with these guidelines.

6.1 Trade Control Compliance

  1. Compliance – Users have to abide by export control rules and any applicable penalties from the US, EU, and other countries. The cross-border transfer of products, services, and technologies is governed by these laws. In order to prevent legal consequences, such as fines and penalties, compliance is essential. Keep yourself updated about changes to these laws to guarantee continued adherence.
  2. Avoid Violations – Users are responsible for making sure their activities do not cause Twozo or its affiliates to break any trade regulations or sanctions. This entails abstaining from actions that might violate international laws or rules. Maintaining compliance and safeguarding Twozo’s and its affiliates’ reputations require this kind of scrutiny.
  3. No Restricted Persons – You and your representatives must not appear on any sanctions or export control lists, nor originate from or be physically present in sanctioned countries. You also have to avoid doing business with people or organizations that are restricted. Maintaining compliance with international regulations and avoiding legal ramifications necessitate compliance with these requirements.
  4. Notification – Promptly inform Twozo if you breach any sanctions or trade controls or if you become a restricted person. This immediate notification allows for appropriate action to be taken to address the situation effectively and ensure compliance with regulatory requirements. By promptly disclosing any breaches or changes in status, you demonstrate a commitment to transparency and compliance, mitigating potential legal risks, and safeguarding the interests of both parties involved.
  5. Right to Terminate – Twozo may terminate your access immediately if you violate these rules or if your continued use could breach sanctions or trade controls. This is to ensure compliance and protect the platform’s integrity.

6.2 Take Down

  1. Legal Compliance: The US Digital Millennium Copyright Act (DMCA) and any other applicable laws are complied with by Twozo.
  2. Takedown Notices: Upon receiving a legitimate takedown notification or court order, Twozo has the right to delete any client data from the site. By taking this action, compliance with legal and regulatory standards is ensured. Twozo preserves its commitment to data privacy and legal compliance by protecting the interests of its users and preserving the platform’s integrity by responding to such notices or orders in a timely manner.

7. FEES/PAYMENT

  1. If the client accesses Twozo services directly from Twozo, certain provisions apply. If access is through a reseller, payment terms are based on the agreement with the reseller.
  2. Using Twozo services beyond the free trial incurs a fee. The client must select a plan with different rates charged monthly or annually.
  3. Twozo can change fees for any plan with one month’s notice, effective from the next plan term.
  4. Twozo can automatically charge fees on the renewal date unless the plan is terminated or reduced prior.
  5. Cancelling the plan before the renewal date avoids billing for the next term, but no refunds are issued for the current term.
  6. All fees are non-refundable and exclusive of taxes, which are the client’s responsibility.
  7. If fees aren’t paid within 29 days, Twozo suspends access. The client has 180 days to reactivate, or Twozo may permanently delete the account and its data.

7.1 Payment Card Authorization

  1. Twozo and its affiliates may verify the client’s payment card prior to the purchase of Twozo Services to confirm its validity and ensure that there are sufficient funds available. This precautionary measure helps prevent potential payment issues and ensures a smooth transaction process for all parties involved.
  2. By agreeing to this check, the client acknowledges and accepts the verification process of their payment card by Twozo and its affiliates. Furthermore, the client agrees to proceed with payment for any selected plan on the website, thereby confirming their commitment to fulfilling the financial obligations associated with the chosen plan. This mutual agreement ensures transparency and facilitates a seamless payment process for the acquisition of Twozo Services.
  3. Twozo is authorized to charge all fees associated with the provided card account. This authorization enables Twozo to process payments seamlessly and efficiently for the services rendered, ensuring uninterrupted access and utilization of Twozo services for the client.
  4. The client agrees to update card information when requested or if the provided information becomes invalid.

7.2 Direct Debit Payments

  1. If you agree, Twozo may request that you fill out a form for bank debit payments. This process facilitates seamless transactions and helps streamline payment procedures for added convenience.
  2. Twozo will adhere to all applicable rules and regulations regarding direct debit payments in your country. This commitment ensures that all payment processes comply with local laws and standards, providing users with a secure and transparent payment experience.

7.3 Payment service providers

  1. Twozo uses GoCardless to handle Client’s bank debit payments.
  2. If you want more details about how GoCardless handles your personal data and your rights regarding data protection, including your right to object, you can find them at gocardless.com/legal/privacy/.

7.4 Invoice Electronically

  1. If Twozo has neglected to verify the client’s credit card in advance,
  2. The client will get an electronic invoice before the conclusion of each payment period. This invoice offers information about the amount owed, the payment method, and the deadline for the payment, in addition to acting as a notification of the impending payment. The client is advised of the impending payment and can make appropriate arrangements for it by getting this electronic invoice.
  3. The invoice must be paid by the specified due date to the client. Respecting this deadline for payment guarantees prompt payment of fees and continuous Twozo service access. Account suspension or other consequences, as indicated in the terms of service, may follow nonpayment by the deadline.

7.5 Late payment charges

  1. In the event of delayed payments, Twozo reserves the right to request interest on the overdue amount, commonly referred to as a late payment penalty. This penalty serves as a deterrent for late payments and helps offset any associated administrative costs.
  2. The late payment interest rate is set at 1% per month or the highest rate permitted by local law, whichever is higher. This rate ensures that clients are incentivized to settle outstanding payments promptly while remaining compliant with relevant legal regulations governing late payment penalties.

8. RESTRICTIONS ON LIABILITY

Twozo shall not be liable for any indirect, incidental, special, consequential, punitive, or loss of income or profits, whether caused directly or indirectly; nor will Twozo be liable for any loss of data, loss of use, loss of goodwill, or other intangible losses.

This ensures that important information regarding billing, invoicing, and financial matters reaches the appropriate individual responsible for managing these aspects of the client’s account. By directing billing-related notices to the designated billing contact, Twozo ensures efficient communication and facilitates the timely resolution of any billing-related issues or inquiries.
  4. Other Notices Other notices are directed to the system administrator designated by the client. This ensures that important notifications, updates, or communications regarding the Twozo platform reach the individual responsible for overseeing system operations and user management within the client’s organization. By directing such notices to the designated system administrator, Twozo facilitates effective communication and enables prompt action or response as needed to ensure the smooth operation of the platform.
